AGREEMENT ABOUT POSITIONING WEBSITES

§ 1 GENERAL
1.Firma X provides services in web positioning
Google.
2.Pozycjonowanie websites must be understood through actions aimed at
indexing a page in the browser and the increase of its original position in the ranking of search Google.
3.Klient is obliged to specify in the contract and the exact page
keywords, which orders the positioning service
4.Adres pages and keywords included in the agreement can be found in Annex 1 to this Agreement.
5.Umowa of positioning is concluded in such a way that when you type into Google
specified in the contract a keyword appears in the address
website (included in Appendix 1) among the top ten search results
.
§ 2 of the CONTRACTOR
1.Wykonawca stosawał not unethical positioning methods, which may result in removal of pages from search engines or a sharp drop in position.
2.Wykonawca can not use the source files and the data contained therein for any purpose other than the execution of this Agreement, and especially provide them to any third parties.
§ 3 CLIENT
1.A customer agrees to make any changes to the Contractor on
ftp server for positioning. Changes in invasive proper operation of php scripts need to be consulted with the client.
2.Klient after signing the contract the Contractor shall make available to your ftp access the source files.
3.Klient can not in itself without notice, positioning the company to make changes in the source files with the exception of the editorial changes to the admin page.
Customer agrees to pay charges for the implementation of positioning services in accordance with the conditions set out in § 5
§ 4 TERM
1.Umowa is concluded for a period of 12 months and shall enter into force on her signature. Agreement may be extended by the parties after the signing of the Annex changing the content of § 2 paragraph 1
2.Klient is entitled to withdraw from the contract in the event of default by the Contractor of services, which the Parties understand the breach by the Contractor, the essential terms, despite prior written notice to remove them within 14 days. 3.If
termination by the Client without valid reason, when 4.Wykonawca accept such termination, as well as in the case of termination by Customer with a valid reason for which a Client, the Client will be obligated to pay a penalty equal to 20 % of the salary due for the performance of future services in the months covered by the contract.
§ 5 PAYMENT
first Payment must be filed separately from each phrase at the rates set out in Appendix 1
second The fee charged for the service is positioning monthly fee.
third The payment is calculated in advance for the month of the date of the appearance of the phrase at least one among the ten first pages in the browser.
4th Fees should be made to here everyone 10th of the month, transfer to the account designated by the Contractor

5th If the phrase, which is positioned on the page
will appear on the 10th day of the month and before clearance for another
month, calculated the difference on days when the party was in
top ten search results and are charged at
proportional to the number of days on which party was present among
first ten search results according to this word.
design monthly fee for the phrase = SD * D where,
SD = maximum monthly rate for the phrase (Appendix 1) divided by the number of days in the billing month.
D = Number of days per month where the party was present in top ten results.
6th Payment for the month is determined under the formula set out in § 5 pts. 5 according to the quantity of items covered by the contract.

§ 6 Final Provisions
1.The matters not covered by this agreement shall be governed by the Civil Code.
2.Sądem responsible for examining any disputes arising under the contract is the court competent for the defendant's domicile.
3.Wszelkie changes in the contract be in writing under pain of nullity.
4.Faktury will be issued with the first day of the month and delivered by post to in Annex 1 of the Customer's address.
5.Umowa was prepared in two original copies, one for each party.
